The specific content of this commitment letter is clarified is as below: 一、本承诺函的承诺宁波不押车贷款金额： I. The loan amount under the Commitment Letter of Loan: 最高不超过30亿元人民币。 The maximum amount of the loan shall not be more than RMB 3 billion Yuan. 二、该项目需符合相关法律法规、监管规定及政策，并依法经国家有权部门审批、核准、备案。 II. This project must be in compliance with relevant laws and regulations, regulatory requirements and policies and shall be legally examined, approved and achieved by national entitled departments. 三、我行（宁波不押车贷款方）有意在满足以下条款的前提下向贵公司（借款方）发放该笔并购宁波不押车贷款: III. Our bank (the lender) intends to disburse the annexation loan for your company (the borrower) in the premise that your company has met the following terms: 1.宁波不押车贷款方与借款方已就上述项目达成并购宁波不押车贷款合作意向，双方签署的并购宁波不押车贷款合同已经生效，并购宁波不押车贷款合同要求的放款条件已经落实； 1. Both the lender and the borrower have reached cooperation intention of annexation loan on the above project, the contract of annexation loan signed by both parties have come into force, and the terms of loan required by the contract of annexation loan have been implemented ; 2.宁波不押车贷款方同意：借款方与目标公司签署的关于上述项目收购的协议条款； 2. The lender agrees: terms of this agreement on the acquisition of above project signed by the borrower and Target Company. 3.宁波不押车贷款方认可由借款方聘请之专业团队针对上述并购项目所做的尽职调查结果； 3. The lender approves results of due diligence to the above annexation project performed by the professional team which is hired by the borrower. 4.宁波不押车贷款方获得目标集团业务计划书,并对印艺及特种专业产品业务未来战略发展规划予以认可； 4. The lender has obtained the business prospectus of the target group and approves the future development planning for graphic art and special professional products business. 5.宁波不押车贷款方获得目标集团针对印艺及特种专业产品业务的风险管理计划书,并对未来可能影响业务发展的风险因素和应对方案予以认可； 5. The lender has obtained the risk management prospectus of the target group on graphic art and special professional products business and further approves the risk factors that may affect the business development in the future and the response plan. 6.目标集团及借款方运营情况没有重大实质不利改变。 6. There is no major and substantive adverse change to the target group and the lender’s operation. 宁波不押车贷款方与借款方仍需就宁波不押车贷款之详细条款作出磋商并订立相关协议，此函并非我行之正式宁波不押车贷款要约。该笔宁波不押车贷款需按我行审查程序审批、落实我行要求并认可宁波不押车贷款条件后才能获得批准发放。 Both the lender and borrower still need to negotiate upon the detailed terms of the loan and then conclude relevant agreements as this letter is not our formal offer of the loan. The loan can only be disbursed after approval of review procedure and implementation of our requirements as well as acceptance of loan conditions. 四、该笔宁波不押车贷款的有权批准机构为：中国银行股份有限公司。 IV. The authority with right to approve this loan is: Bank of China Limited. 五、本承诺函有效期自签发之日起为壹年。 V. This commitment letter’s period of validity is one year after signed. 六、本承诺函适用中华人民共和国法律。 VI.
